The very foundation of YP Corp.’s governance structure derives from their controlling shareholders, two Antiguan corporations, Morris & Miller and Mathew & Markson (the M&M’s).  YP has paid the M&M’s millions in cash while insisting that these were arms-length deals with unaffiliated and unknown 3rd parties.   The most prominent of these deals was the leasing the URL “yellow-page.net” for $5 million.

YP Corp creates the worst alibi ever..just getting themselves in more trouble. 

Since the reverse merger which formed YPNT in 1999, two Antiguan Corporations known as the M&M’s appear as the major shareholders in YPNT’s filings.  From the outset, the signer of documents on behalf of the M&M’s SEC filings is William C Cooper, as director of “Matthew & Markson”.  Later he signs as “William Cooper”.  The 13D filing of 4/8/1999 shows the address as well:

William Cooper
Woods Centre, Frair’s Road
P.O. Box 1407
St. John’s; Antigua, W.I.

A stock purchase agreement attached to an 8-K filed 6/30/1999 shows Ilse Cooper signing as Director of “Mathew & Markson” and William C Cooper as its President.

With all that’s been written about YP Corp recently, the issue of “The M&Ms” might be unclear to some.  There’s a good reason for that.  The company’s CEO Angelo Tullo wants the investing public to be as confused as possible, and he works hard at it.  Why?   He absolutely cannot afford for the truth to be known.
